Dealer Partner Program Terms

These Dealer Partner Program Terms ("Partner Terms") govern your participation in the Pikkuna Dealer Partner Program ("Program"). By applying to or participating in the Program, you agree to be bound by these Partner Terms in addition to our general Terms and Conditions.

1. Program Overview

The Pikkuna Dealer Partner Program enables authorized businesses to resell Pikkuna-branded clear vinyl curtains and PVC enclosure products. Approved dealers receive a unique promo code that provides wholesale discounts when placing orders.

How the Program works: Dealers negotiate prices and terms directly with their end customers. You may use the Pikkuna website to show the product calculator and retail prices to your customers. When ready to order, place the order through our website, enter your dealer promo code at checkout, and pay with your tier discount applied.

Suomen Pehmeä Ikkuna Oy (Business ID 1715613-2, Teollisuustie 10, 54800 Savitaipale, Finland) operates the Program and manufactures all Pikkuna products at our facility in Finland.

2. Application and Approval

1. All dealer applications are subject to review and approval by Pikkuna. Submission of an application does not guarantee acceptance into the Program.
2. Applicants must be legally registered business entities in good standing within the European Economic Area (EEA), United Kingdom, or other approved territories.
3. Pikkuna reserves the right to reject applications or limit the number of dealers in any geographic area at its sole discretion.
4. Approved dealers will receive written confirmation of their acceptance and assigned dealer tier.

3. Mandatory Services

To qualify and maintain dealer status, partners must provide all of the following services:

1. Pre-installation measurements: Professional on-site measurement services to ensure accurate product specifications for custom orders.
2. Professional installation: Complete installation services performed by trained personnel following Pikkuna installation guidelines.
3. Maintenance and repair: Ongoing maintenance, cleaning guidance, and repair services for Pikkuna products sold through the dealer.

Dealers who cannot provide all three mandatory services will not be accepted into the Program. Existing dealers who cease to provide any mandatory service may have their dealer status suspended or terminated.

4. Dealer Tiers and Discounts

Dealers are assigned to tiers based on performance, sales volume, and service quality. Each tier provides different wholesale pricing discounts:

Tier assignments are reviewed quarterly. Pikkuna reserves the right to adjust tier levels based on performance metrics, customer feedback, and compliance with these Partner Terms.

5. Ordering and Delivery

All product deliveries are made exclusively to the dealer's registered business address. Direct shipping to end customers is not available through the Dealer Program.

1. Dealers must place orders through the designated dealer portal or approved ordering channels.
2. Minimum order quantities may apply depending on product type and dealer tier.
3. Dealers are responsible for final delivery to end customers and coordination of installation appointments.
4. Standard production and delivery timelines apply as specified at time of order.

6. Pricing and Payment

1. Wholesale prices are calculated by applying the applicable tier discount to current retail prices.
2. Dealers may set their own retail prices for end customers but must not advertise prices below Pikkuna's published retail prices without prior written approval.
3. Full prepayment is required for all orders. All Pikkuna products are custom-manufactured to order, and production begins only after payment is received.
4. All prices are exclusive of VAT unless otherwise stated. VAT will be applied according to applicable EU regulations.

7. Brand and Marketing

1. Dealers are granted a limited, non-exclusive license to use Pikkuna trademarks and marketing materials solely for promoting and selling Pikkuna products.
2. All marketing materials must be approved by Pikkuna before use. Dealers must not modify Pikkuna logos or create misleading representations about the products or partnership.
3. Dealers must clearly identify themselves as authorized dealers and not as Pikkuna employees or representatives.

8. Warranty and Support

1. All Pikkuna products carry a two (2)-year manufacturer warranty as detailed in our general Terms and Conditions.
2. Dealers must inform end customers about warranty terms and assist with warranty claims when applicable.
3. Pikkuna provides technical support and training materials to dealers. Dealers are responsible for first-line customer support.

9. Data Protection and GDPR

Both parties must comply with EU General Data Protection Regulation (GDPR) and applicable data protection laws when processing personal data related to the Program.

1. Dealers are independent data controllers for customer data they collect and must maintain their own GDPR-compliant privacy policies.
2. When sharing customer data with Pikkuna for order fulfillment, dealers must ensure proper legal basis and customer consent where required.
3. Both parties agree to implement appropriate technical and organizational measures to protect personal data.

10. Confidentiality

Dealers must maintain confidentiality of all non-public information received from Pikkuna, including but not limited to pricing structures, business strategies, product development plans, and customer data.

11. Liability and Insurance

1. Dealers operate as independent businesses and are solely responsible for their own operations, employees, and compliance with local regulations.
2. Dealers must maintain appropriate business insurance, including public liability insurance, covering their installation and service activities.
3. Pikkuna's liability is limited to product defects covered under warranty. Pikkuna is not liable for damages arising from dealer installation errors or service failures.

12. Governing Law and Disputes

These Partner Terms shall be governed by and construed in accordance with the laws of Finland. Any disputes arising out of or in connection with these Partner Terms shall be resolved through good faith negotiation. If unresolved, disputes shall be submitted to the District Court of Helsinki, Finland.

13. Amendments

Pikkuna reserves the right to modify these Partner Terms with reasonable notice. Continued participation in the Program after changes take effect constitutes acceptance of the modified terms. Material changes will be communicated at least 30 days in advance.
